i would like to pasword ONE forum in my UBB for use by family members only. can this be done from the CNC?
do i then go to the exact forum, and password protect it and then give the USER NAMER and PASSWORD to family members?

Password protecting one forum directory won't quite do it; anyone who has been inside the UBB code will know how they can view the forum without having to enter the forum directory (eg, construct a Reply or Post URL with the right forum ID)...
I would suggest using the UBB's built-in protections. I haven't used a UBB in quite a while, but I do recall it having a usable protection where you could password protect one (or more) forum... unless you're talking about the free version...
... in which case I'd recommend setting up a second freeware UBB and protecting it's entire directory (both CGI and non-CGI).

Once upon a time, you created the new forum, and set it to be "private" . . . there were varying levels of privacy you could select. Entirely dynamic was the most secure, as I recall. You could set the privacy to be password dependent, or user-permission dependent.
After doing this, you could go into the various user's profiles, and add permission for them to view the forum.
Last I used UBB, the forum itself was still visible on the main forum page . . . access was denied via an entry point. Perhaps this has changed in the year or so since I ran a UBB myself.
vBulletin hides the forum altogether from those without access, as does DCForums.
